iCreate Limited (ICREATE) – Corporate Disclosure on Restructure

ICreate Limited (ICREATE) has advised of the resignation of members of the Board of Directors, Management Team, Corporate Secretary and appointment of new directors and Corporate Secretary, as follows:

Resignation of Board Directors & Corporate Secretary
iCreate Limited Board of Directors has been reduced from nine members to five members. This is to notify that the following Directors of the Board of iCreate Limited have tendered their resignations:

� Mr. Vinay Walia | April 15, 2020
� Mrs. Sheree Martin | April 22, 2020
� Mrs. Mischa McLeod-Hines | April 15, 2020
� Mr. David Wan | April 16, 2020
� Mr. Rhys Campbell | April 14, 2020
� Mr. Lissant Mitchell | April 1, 2020

Corporate Secretary for iCreate Limited, Mr. Stephen Greig has also tendered his resignation effective April 17, 2020. Mr. Demetrie Adams was appointed as the new Corporate Secretary on April 17, 2020.

Mr. Devon Lawrence retained his position as a Director and Chairman of the Audit Committee of the company.

Dr. Jennifer Bailey retained her position as a Director and Chairman of Academic Advisory Council.

Appointment of Executive Chairperson & Board Directors
At a Board Meeting on April 21, 2020 the Board appointed the following as Directors of iCreate Limited effective immediately:

� Mrs. Natasha Dixon
� Mr. Ricardo Allen

At the Board Meeting on April 22, 2020 the Board voted Dr. Jennifer Bailey as Executive Chairperson of iCreate Limited.

The following appointments were also made: Mrs. Natasha Dixon as Chairperson for the HR & Compensation Committee and Mr. Ricardo Allen as a member of both the Audit & HR & Compensation committees.

Resignation of Senior Managers
General Manager, Ms. Sophia Harris and Chief Financial Officer – Ms. Antoinette Hamilton have also tendered their resignations March 25, 2020 and April 20, 2020 respectively.

ICREATE takes this opportunity to thank their former Leadership Team Members, Corporate Secretary & Directors for their service and welcome the new Corporate Secretary and Directors to the Board of iCreate Limited.

Appointment of Mentor
ICREATE further advises that it will be announcing the appointment of a new Mentor to the Board of Directors within the next five (5) days.
